Terms of services for writers

By submitting your article to for publishing at Millennium Rise web resources for free, you confirm that you have read these terms of services, understood them and agreed to be bound by them. You, the writer willing to submit your article to Millennium Rise web resources to be published for free, hereinafter referred to as the Writer, and Millennium Rise Ltd., further referred to as the Publisher, will be singularly and collectively referred to as "Party" or "Parties".

Whereas, the Publisher is in the business of developing integrated Internet solutions and software products and maintaining a global network of Internet web sites with a unique content related to business, public relations and advertising, marketing and management, health and beauty, dating and relationship, gambling, travels and resorts and other subject areas;

Whereas, the Writer wishes to publish for free the unique piece of writing, further referred to as Article, which corresponds to Publisher's guidelines and requirements and is suitable for publishing on the Internet resources;

The Parties have agreed as follows:

1. Definitions.

a. Articles Defined. Article is a unique complete piece of writing with a length of at least 2,500 characters without spaces, no part of which has ever been published, represented or used in any way in any media of any type. The Article is created by the Writer in full correspondence with the Publisher's Guidelines and is suitable for publishing on the web resources of the Publisher.

b. Guidelines and Requirements Defined. Requirements to the Article intended for free submission, are listed on the Publisher's web site and are made available for everyone to view. Guidelines is a separate document provided by the Publisher to the Writer as a reference guide, which states basic requirements and criteria that define the suitability of the article for publishing.

2. General.

The Writer will create and submit the Articles that he/she wishes to publish on the Publishers web sites for free.

The Publisher will publish the Articles if the Publisher chooses to do so and the article corresponds to the Requirements and Guidelines. The Publisher takes no obligation whatsoever to publish or not to publish the Articles submitted by the Writer. The correspondence and suitability of the articles is determined in the sole discretion of the Publisher.

If the Publisher chooses to publish the Article for free, the Publisher undertakes to provide the name of the Writer, the Writer's credentials, links to the web resources and other relevant personal information on the Writer, provided the article is unique and posted by the Writer on the web resources of the Publisher only.

By submitting the Article for free publishing by the Publisher, the Writer certifies that he/she possesses all rights to this Article without limitation, and transfers the right to distribute the Article, publish it on any web sites, e-zine, free e-book, and other forms of digital and non-digital media, to the Publisher. The Writer will not post the Article on any web resources and will not use it in any form without a written consent of the Publisher.

All working relations and procedures needed for executing the mutual responsibilities are defined as mutually acceptable work order by the Guidelines and other documents, and all these terms of service fully apply to the performance of the work order, except that any special terms and conditions expressly set forth in the Guidelines and other related documents will govern over the terms of service set forth herewith. Work order is defined by the Publisher in commercially reasonable detail.

3. Compensation.

The Publisher does not and will not compensate the use of the Article submitted by the Writer in money.

In exchange for the submitted Article the Publisher undertakes to publish the Writer's name and other relevant information and make a commercially reasonable effort to promote this information.

The Publisher cannot and does not guarantee that publishing of the Article will result in the increase of sales made by the Writer, or the increase of traffic to the Writer's web site, or any other commercial or noncommercial result. The Writer understands that the performance of the Article and its advertising effect depend solely of the quality of the Article and the quality of the web resources, products and services offered by the Writer.

The Publisher is not to publish for the articles submitted by the Writer if (1) they do not correspond to the Guidelines and other documents and set the work order; (2) they infringe the copyright of the third parties or (3) the articles or their parts have already been published, represented or used in any other way in any other media.

4. Exclusivity.

All articles submitted by the Writer to the Publisher present the unique pieces of writing created by the Writer. All articles are submitted by the Writer to the Publisher on the exclusive basis, which means that the Writer has no right to publish, represent, or use in any way the text of the article in any way in any media without a written consent of the Publisher. By submitting the Article to the Publisher, provided that the submission resulted in publishing, the Writer agrees that the submitted Article will be used exclusively by the Publisher and in the sole discretion of the Publisher.

The Writer retains the right to use the articles as a part of the writing portfolio, as a reference to other Publishers, in order to demonstrate the writing abilities and as a proof of the previous employment, and strictly within the scope of permitted use as agreed with the Publisher in writing.

5. Transfer and Ownership of Rights.

While the Writer retains the copyright to the Article, all rights that concern its further distribution are transferred to the Publisher entirely and exclusively. Once the Article is submitted to the Publisher, and the Publisher informs the Writer of the intention to publish it on the Publisher's web resources for free, the Writer expressly gives the Publisher the rights to change the text of the Article in any way, to edit the Articles, make any modifications and alternations to it, to translate it to any language, to store, distribute for free and use in any way and in any type of media. The rights to the articles are worldwide and unlimited in time. The Writer will not ever file claims or lawsuits against the Publisher for whatever reason in regard to the rights to the articles that have been properly submitted and published for by the Publisher as described in these terms of service herein.

6. Third Parties Copyright.

The Publisher has a strict policy of respecting the intellectual property rights of the third parties. The articles submitted by the Writer should not violate the intellectual and property rights of the third parties in any way. If the article submitted the by Writer is based on the open sources of information, the wording should be entirely different, and no part of the text can be copied from any sources.

Although the Publisher takes reasonable care to prevent the copyright infringement, the liability for such is entirely the Writer's, and the Publisher takes no responsibility whatsoever for the breach of the third parties rights.

The infringement of the third parties rights is the sufficient grounds for the Publisher to terminate the cooperation with the Writer immediately and delete the previously submitted articles from all web resources.

The Writer acknowledges and agrees that a violation of the third parties rights may cause irreparable harm to the Publisher, the Publisher's business reputation and assets, and in recognition of the foregoing, agrees that the Publisher shall have the right to seek the compensation of the losses without any necessity of proof of actual damage.

7. Confidential Information.

The term "Confidential Information" shall mean: (a) business methods and processes of the Publisher; (b) information concerning the Publisher's management, financial condition, marketing activities, business plans and working procedures including the documents that regulate them accept for those made publicly available by the Publisher.

The Writer will maintain all confidential information of the Publisher in strict confidence and will not at any time or for any reason disclose any confidential information to any third party without the Publisher's prior written consent.

8. Representations and Warranties.

The Writer represents and warrants on a continuing basis that (a) (s)he has the right to enter into and perform the obligations specified in these terms of service; (b) the submitted articles shall not infringe upon, misappropriate or otherwise violate the intellectual property rights of any third party; (c) the submitted articles shall not violate any anti-discrimination laws and regulations; (d) the submitted articles shall not contain any material which is defamatory, trade libelous, unlawfully threatening or unlawfully harassing; (e) the submitted articles shall not contain any materials which is obscene or harmful to minors.

The Publisher represents and warrants that it has the power and to enter into and perform its obligations as specified in these terms of service.

9. Liabilities and General Conditions.

The Publisher and its respective directors, officers, employees, agents and affiliates are not to be hold liable for any losses, damages, judgments and expenses (including reasonable attorneys' fees and costs of investigation) arising out of, relating to, or incurred as a result of (a) the failure of the Writer to perform the obligations as specified in these terms of service; (b) the violations of the terms of service by the Writer, (c) any inaccuracies, errors, misleading advice or wrongful recommendations in the submitted article and their consequences whatever they are.

No amendment, change, waiver, or discharge hereof shall be valid unless in writing and signed by both parties.

If the observance of these terms of service by either Party is prevented, hindered, delayed or otherwise made impracticable by reason of any flood, riot, fire, judicial or governmental action, labor disputes, act of God or any other causes beyond the control of either Party, that Party shall be excused from such to the extent that it is prevented, hindered or delayed by such causes.

These Terms of Service, together with any Guidelines or other documents which are incorporated by reference, constitutes the complete and exclusive statement of all mutual understandings between the parties with respect to the subject matter hereof.
