Terms of services for publishersBy reprinting the articles published on the web resources of the Millennium Rise for free, you confirm that you have read these terms of services, understood them and agreed to be bound by them. You, the publisher or webmaster willing to reprint the article published on Millennium Rise web resources for free, hereinafter referred to as the Free Content User, and Millennium Rise Ltd., further referred to as the Publisher, will be singularly and collectively referred to as "Party" or "Parties".
Whereas, the Publisher is in the business of developing integrated Internet solutions and software products and maintaining a global network of Internet web sites with a unique content related to business, public relations and advertising, marketing and management, health and beauty, dating and relationship, gambling, travels and resorts and other subject areas;
Whereas, the Free Content User wishes to publish for free the unique pieces of writing, further referred to as Articles, the right of distribution to which belongs by the Publisher;
The Parties have agreed as follows:
1. Definitions.
a. Articles Defined. Article is a unique complete piece of writing with a length of at least 2,500 characters without spaces, no part of which has ever been published, represented or used in any way in any media of any type except for on the Publisher's web resources.
b. Reprinting. Reprinting means reproduction of an article of our web resource in any digital media of any type, i.e. on any web site, any ezine, forum, blog, Internet publication, etc.
2. General.
The Free Content User wishes to publish articles posted on the Publisher's web site for free.
The Publisher expressly gives the right to the Free Content User to publish articles posted on the Publisher's web site for free, provide the Free Content User follows these terms of service in full.
The Publisher retains the right to prohibit the Free Content User's reprinting of any article if the Publisher feels that the terms of service have been violated. The fact of violation of the terms of service is determined in the sole discretions of the Publisher.
Publishing the article, the Free Content User receives no rights to the article whatsoever except for those expressly granted by these terms of service.
All working relations and procedures needed for executing the mutual responsibilities are defined as mutually acceptable work order, and all these terms of service fully apply to the performance of the work order, except that any special terms and conditions expressly set forth in any company documents will govern over the terms of service set forth herewith. Work order is defined by the Publisher in commercially reasonable detail.
3. Compensation.
The Publisher does not and will not compensate publishing of the article to the Free Content User.
The Free Content User does not and will not compensate publishing of the article to the Publisher.
Neither Party has financial obligations to the Writer of the Article.
Either Party has an obligation to include the Writer's personal information into the article and publish it alongside with the article.
The Free Content User is obliged to post the direct link provided by the Publisher and other mandatory information next to the article reprinted from the Publisher's web resource.
The Publisher cannot and does not guarantee that publishing of the Article will result in the increase of sales made by the Free Content User, or the increase of traffic to the Free Content User's web site, or any other commercial or noncommercial result.
4. Ownership of Rights.
All rights of distribution to the articles reprinted by the Free Content User remain with the Publisher entirely and exclusively except for the rights expressly granted herein.
5. Terms and Conditions of Reprinting the Articles.
The Free Content User is to publish the entire article as it is published on the Publisher's web site with no changes.
The Free Content User is to post the personal information of the writer as posted on the Publisher's web resources, and the direct link to the Publisher's web resource along with the mandatory disclosure information as required by the Publisher.
The Free Content User is not to change the title and the announce of the article in any way.
The Free Content User is not to include the reprinted articles into any unsolicited emails, pop up ads or other means of online Internet advertising.
The Free Content User is not to publish the articles on the web site that contain illegal content, any hate/violence oriented or discriminative materials and statements and violate any anti-discrimination laws and regulations; the web sites the articles are published on should not contain any material which is defamatory, trade libelous, unlawfully threatening or unlawfully harassing. These sites should not contain any adult material or any material which is obscene or harmful to minors.
The Free Content User is never to use the reprinting of the articles commercially. The commercial use of the reprinted articles in strictly prohibited.
The Free Content User is to reprint only the articles that are intended for reprinting. These articles bear a mark made by the Publisher as agreed.
The Free Content User does not have a right to make any derivatives of the reprinted articles whatsoever, nor translate it into foreign languages or produce video/audio materials on the basis of the content.
6. Confidential Information.
The term "Confidential Information" shall mean: (a) business methods and processes of the Publisher; (b) information concerning the Publisher's management, financial condition, marketing activities, business plans and working procedures including the documents that regulate them accept for those made publicly available by the Publisher.
The Free Content User will maintain all confidential information of the Publisher in strict confidence and will not at any time or for any reason disclose any confidential information to any third party without the Publisher's prior written consent.
7. Representations and Warranties.
The Free Content User represents and warrants on a continuing basis that (a) (s)he has the right to enter into and perform the obligations specified in these terms of service.
The Publisher represents and warrants that it has the power and to enter into and perform its obligations as specified in these terms of service.
8. Liabilities and General Conditions.
The Publisher and its respective directors, officers, employees, agents and affiliates are not to be hold liable for any losses, damages, judgments and expenses (including reasonable attorneys' fees and costs of investigation) arising out of, relating to, or incurred as a result of (a) the failure of the Free Content User to perform the obligations as specified in these terms of service; (b) the violations of the terms of service by the Free Content User, (c) any inaccuracies, errors, misleading advice or wrongful recommendations in the articles and their consequences whatever they are.
No amendment, change, waiver, or discharge hereof shall be valid unless in writing and signed by both parties.
If the observance of these terms of service by either Party is prevented, hindered, delayed or otherwise made impracticable by reason of any flood, riot, fire, judicial or governmental action, labor disputes, act of God or any other causes beyond the control of either Party, that Party shall be excused from such to the extent that it is prevented, hindered or delayed by such causes.
These Terms of Service, together with any Guidelines or other documents which are incorporated by reference, constitutes the complete and exclusive statement of all mutual understandings between the parties with respect to the subject matter hereof.
